These Terms of Service (“Terms”) govern your use of the website and services provided by Clear Concierge, a service of Foxen Canyon Holdings LLC (“we,” “us,” or “our”).
Services
Clear Concierge provides AI-powered front desk services for healthcare practices, including phone answering, appointment scheduling, patient reminders, patient reactivation, reputation management, and related services (the “Services”). Specific services, pricing, and terms for each engagement are defined in a separate Statement of Work or service agreement.
Use of Our Website
You may use our website for lawful purposes only. You agree not to:
- Use the Site in any way that violates applicable laws or regulations
- Attempt to interfere with the proper functioning of the Site
- Misrepresent your identity or affiliation when contacting us
Service Agreements
Use of our Services requires a separate service agreement that specifies the scope of services, fees, payment terms, and duration. These Terms apply in addition to any service agreement. In the event of a conflict, the service agreement controls.
Intellectual Property
All content on our website, including text, graphics, logos, and software, is the property of Foxen Canyon Holdings LLC or its licensors and is protected by applicable intellectual property laws. AI configurations, templates, and workflows developed by us in the course of providing Services remain our intellectual property.
Client Responsibilities
When using our Services, you are responsible for:
- Providing accurate and complete practice information
- Reviewing and approving AI agent configurations before go-live
- Maintaining appropriate staffing for calls that require human intervention
- Complying with all applicable healthcare regulations, including HIPAA
- Executing a Business Associate Agreement with us prior to our handling of protected health information
- Paying fees as specified in your service agreement
Disclaimers
The Services are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Our AI systems are designed to assist with front desk operations but are not a substitute for licensed medical advice, emergency services, or professional clinical judgment. We do not provide medical advice through our Services.
Limitation of Liability
To the maximum extent permitted by law, Foxen Canyon Holdings LLC and its officers, members, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or Services.
Our total liability for any claim arising from these Terms or the Services shall not exceed the fees paid by you to us in the three (3) months preceding the claim.
Indemnification
You agree to indemnify and hold harmless Foxen Canyon Holdings LLC from any claims, losses, or damages arising from your breach of these Terms, your use of the Services, or your violation of applicable laws or regulations.
Termination
We may terminate or suspend your access to the Site or Services at any time for violation of these Terms. Termination of Services is governed by your service agreement.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Arkansas, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Benton County, Arkansas.
Changes to These Terms
We may update these Terms from time to time. We will notify current clients of material changes via email. Continued use of the Site after changes constitutes acceptance of the updated Terms.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
